Business & Mindset Coaching Agreement

Welcome! I am delighted to welcome you as a Freedom Lifestyle Coaching client. Please read this document carefully before you sign it as it sets out the terms of our relationship so we may both benefit from clear boundaries and knowing what to expect from each other.

  1. Introduction

Our business and mindset coaching aims to help women understand the wealth that is available to them, and guide them to break through their limiting beliefs so they can have anything they want.

By signing or accepting this Agreement, you are entering into a legally binding contract, so it is important that you make an informed decision about whether our services are right for you and contact us before you proceed if you have any questions or concerns. If anything in this Agreement is unclear, we encourage you to seek independent advice to ensure you fully understand your rights and obligations and to negotiate any clause which feels unfair.

If you have requested a payment plan, this contract will be provided to you through DocuSign and you will be required to sign it electronically as part of the intake process. 

If you have chosen to make your payment in full, this contract will be provided to you as a link on our intake form for you to read. You express your understanding and acceptance of its terms by making your payment.

You are a good fit for this work if you are a woman with an online business. You know what you need to be doing, but you struggle to maintain a positive mindset and energy. You are really looking for a community to help support you as you create an environment of success. You understand that this work requires radical self-responsibility, and you are looking forward to creating both financial and time-based freedom. This work will not be suitable for you if you are not independent and self-motivated enough to follow through on your promises without having your handheld, or if you prefer to blame others for what is happening to you and the results you are achieving. I also do not work with people under the age of 18.

Our services are offered in compliance with Australian Consumer Law.

  1. The Parties

“You” Your details are provided in the intake form you filled out when you purchased your coaching package.

  1. Contact

If you have purchased a 1:1 coaching package, please use Voxer to contact your coach.

If you are participating in our mastermind, or one of our mini-courses, the best way to contact us is through Facebook Messenger. 

All billing and administrative inquiries should be emailed to [email protected].

You can expect a response within 24 hours (excluding weekends and public holidays.) Please note that we are only available on weekdays. We do not check or answer messages outside normal business hours. 

  1. Payment Terms

The price of the service that you requested was quoted to you on our website, or during our clarity call or zoom chat where we discussed working together. All prices are in Australian dollars and are inclusive of GST. Please note that payment by Paypal attracts a 3% surcharge.

If you have chosen to pay in full, the description of the services that you have chosen was set out in your welcome email. Please contact us BEFORE making your payment if you have not received that email, or if you have any questions or concerns. Payment is to be made by bank transfer for Australian clients, and Paypal if you are overseas. The total amount must be paid in full before coaching commences.

If you have requested a payment plan, the details of the services that you have chosen and the installments we have agreed to are set out in Schedule 1 of this Agreement. Payment plans are managed by Paypal or  stripe. This Agreement must be signed and the payment plan set up before coaching commences. 

Payment plans are offered solely to assist you in making this investment in your personal and professional growth, so you can spread your payment out over time. You are still committed to paying the whole amount, even if you change your mind about working with us, as you are asking us to hold you accountable and help you stay in the room, even when you feel like quitting. As a result, it is essential that you ensure that you are able to commit to this work before you sign up. 

It is your responsibility to ensure you have sufficient funds to make payment installments on time. For late payments, all coaching sessions will be paused until your payments are up to date. If you have any difficulty making a payment installment, you MUST email [email protected] to notify us that there is a problem before your payment is due. If you don’t respect us enough to tell us you are having difficulties, you make it impossible for us to respect your needs by offering flexibility. Be upfront and honest with us, and we will work with you to find a win/win solution. 

You agree to pay all costs, including debt collection agency fees and solicitor’s costs, that we may incur in taking steps to recover any monies that you owe to us, whether or not legal proceedings are issued in relation to the debt.

  1. Withdrawal and Refunds

We offer a 24-hour cooling-off period during which you can request a refund in full or withdraw from a payment plan agreement. To take advantage of this cooling-off period, please email [email protected]. Once this cooling-off period expires, there are no refunds for change of mind. As a result, you must make sure that you are committed to continuing with this work and prepared to see it through.

Note that for payment plans, if you choose to withdraw before the coaching is completed, you are still committed to paying the full amount. More information is provided about this in the Payment Terms section.

When you sign up for this coaching, you are making a long-term commitment to your well-being and development as a business owner. It is very common to experience resistance, doubts, setbacks, and the desire to quit. That is why you have asked us to hold you accountable. As a result, you agree that you will stay in the room despite the discomfort and not withdraw from the coaching until all sessions are complete. If you have a major problem or are experiencing concerns, please contact us to discuss the issues.

We reserve the right to terminate this Agreement at our sole discretion if we determine that you are not a good fit to work with us, or circumstances beyond our control prevent us from delivering our services as agreed. If that happens, we will provide you with a pro-rata refund for any unused sessions. 

  1. Affiliate rewards

If you refer someone to us and they purchase a coaching package naming you as the person who referred them, you may choose one of the following options to express our appreciation:

  • a bonus coaching call valued at $300,
  • 2% of the new client’s total investment as a kickback that can be paid to you via PayPal on the last day of the month following their payment in full to us. The amount will be subject to change depending on the tier your referral chooses and our current prices, or
  • you can have 2% deducted from your investment with us, which may be refunded to you via Paypal, deducted from your payment plan, or used as credit towards other services we offer.
  1. Appointment Policies

It is your responsibility to be on time to all sessions. We will still need to finish at the same time, even if you are late.

If you need to reschedule a session, you need to provide us with 24 hours notice so that we are able to adjust our plans for that time. If you provide less than 24 hours notice or fail to attend a call, that session will be forfeited. If you are prevented from attending due to emergency circumstances beyond your control, please contact us as soon as possible. We may agree to reschedule on compassionate grounds at our sole discretion, depending on the nature of the emergency.

On the very rare occasion that we have to cancel a session due to circumstances beyond our control, we will contact you as soon as possible to arrange a mutually convenient time to reschedule.

  1. The Coaching

Our coaching sessions may be wide-ranging, touching on all aspects of life as a business owner, including money mindset, business strategy, and improving your mindset in general. We may work towards clarifying your values and what is important to you, brainstorming solutions for life or business challenges, strategic planning, understanding your human behaviors and teaching you tools to assist with personal transformation.

We will set goals in consultation with you, and work together using a lot of different NLP techniques.

Coaching sessions are held online via zoom and maybe 1:1 or group sessions, depending on the package purchased. You will be sent the link to the zoom room with your confirmation of booking.

The structure of the specific package you have requested is set out in Schedule 2. 

We do not permit clients to record sessions and we do not record 1:1 sessions or group Q&As.

Group training sessions may be recorded, and the recorded will be added to the content available for the program you have purchased.

  1. Our Responsibilities 

Rhi is a master practitioner & coach of neurolinguistic programming, a master practitioner of hypnotherapy and a master practitioner of emotional change technique. She takes great care to ensure any coaches she subcontracts to work with her clients are appropriately qualified, highly skilled and equally committed to your wellbeing.

We are here to hold you to your highest potential and support you to be the best version of yourself. We will give you access to our experience, knowledge and strategies, and assist you to implement them in your own unique way.

This work can at times go deep. If we have serious concerns about your mental wellbeing, you give us permission to reach out to your emergency contact to discuss our concerns, or to seek emergency assistance on your behalf if we feel that you are not safe. There are also rare circumstances where we will take action if we believe there is a need to protect others from harm. If such a situation arises, and we feel it is safe and appropriate to do so, we will make every effort to fully discuss the circumstances with you before taking any action. In any event, our disclosure will be limited only to what is absolutely necessary.

  1. Your Responsibilities

If we have provided you with access to program content and materials, it is your responsibility to follow instructions and make use of the resources. For group programs, you must make time to show up for the Q&A sessions, and for 1:1 sessions, you are required to follow through on the commitments that you make, including integration work; reading, watching or listening to recommended material; and completing any work that you have agreed to before your next session. 

For all sessions, you will need to bring a journal or notepad, an open mind, and the vulnerability it takes to journey into the depths of your soul. You will also need a computer with working sound and camera, and reliable internet. You will need to install zoom and check that it is working before our first session, and if relevant, ensure that you can access Kajabi, our content platform.

There is no magic wand! If you want to get the most out of working with us, you will need to take responsibility for doing the work. We have no sympathy for those who complain that they have not made progress towards your goals, when they have not put in any effort.

You take full responsibility for your implementation of any suggestions made during the coaching in your own life or business. You understand that our advice is limited to providing you with options for your consideration and that you are solely responsible for any actions that you choose to take. Always consult your own values and vision, do your own research, and check with appropriately qualified professionals before making major life changes or business decisions. You agree to indemnify us against all consequences arising directly or indirectly from your choices. 

If you wish to use any of our tools with your own clients, you must acknowledge us as the source.

Some of our sessions may involve hypnotherapy or deep concentration. As a result, it is important to ensure that you are not driving during sessions and that any small children are adequately supervised by another adult.

  1. Important Information 

Our coaching is intended to help with improving your overall life, financial mindset, and business strategy. It is  not a substitute for financial, investment or legal advice, therapy, counseling or mental health treatment, although it may trigger bigger issues that go beyond the scope of our coaching. If you find this to be the case, please let us know so that we can discuss an appropriate referral. If your concerns are urgent, seek immediate advice from an appropriately qualified professional. We are always happy to work collaboratively, providing assistance and support alongside your treatment team.

Our perception of the world may be different from yours, and during the coaching, we may say things that you are not comfortable with. Our intention is to get you thinking outside your current reality so that you can see what else is possible. You may find this confronting or triggering, and if so, we expect that you will be open and honest with us about how you are feeling.

Another concern is that when you are in the trenches, it can be very difficult to get a sense of what is holding you back. You have to be willing to really surrender, dive into your pain, and explore the issues as they exist for you personally. Coaching can be like an onion with many layers – peeling back some layers in our sessions may expose raw nerves or new problems that you were not consciously aware of. As a result, sometimes our lessons will not land and we may not completely get to the centre of an issue in one round of coaching. You may not be able to grasp a concept and action it because fear is holding you back from going deep enough. 

It is a condition of working with us that you understand and are willing to accept these risks.

  1. Claims & Guarantees

We firmly believe based on our own personal experiences, and what we have witnessed from our clients, that you create your own reality. You can have anything you really want if you believe it.

However, given the subjective nature of belief, we are unable to offer any guarantee of success. The results that you achieve will be dependent on your own effort and your own unique circumstances, which are beyond our knowledge and control.

  1. Confidentiality and Privacy

During the coaching, we may share with you confidential information about our personal lives and business experiences. We may give you behind-the-scenes information about our practices that are not intended for public consumption. You agree to respect our confidentiality and not to discuss this information with anybody else.

We may collect sensitive and personal information from you in order to provide you with the coaching. This may include: birthdates; financial information; details about your health, lifestyle and wellbeing; and details about your business that are not in the public domain. We use this information to maintain our client databases and to deliver our services to you. We are committed to protecting your privacy in accordance with the Australian Privacy Principles. All client information is stored on password-protected devices, or online in Google Workspace. 

 While we will keep the information that you share with us confidentially, in some circumstances, we have a responsibility to report to the relevant authorities. This may occur: 

  1. when you provide written consent for us to disclose personal information for a specified purpose, such as for a referral to another professional
  2. when disclosure of the information is required for the protection of a child 
  3. when there is a legal requirement for the disclosure, such as a court order, or 
  4. to prevent a clear and imminent danger to yourself or others.
  1. Intellectual Property

The content of our coaching sessions and any materials we provide to you are protected by copyright laws and treaties around the world, with all rights reserved. The materials we provide to you are for you to use in your business. However, they have been created by us and remain our intellectual property. When you use them, you agree to acknowledge or reference us as the creator and provide a link back to our website or social media accounts.

  1. Limitation of Liability

We take our obligations under Australian Consumer Law seriously and will do our best to address any issues that arise. However, even if there is a major problem, our liability is strictly limited to:

  1. replacing the goods or providing the services again; or
  1. if we are unable to do so within a reasonable time, paying the cost of having the relevant goods or services supplied to you again.

Subject to our obligations under Australian Consumer Law, we are not liable to you for any costs, loss, injury or damage that you or your business may suffer that is not directly attributable to our negligence or the negligence of our subcontractors.

You agree that your participation in the coaching, including all activities associated with the coaching, is entirely voluntary. You expressly agree to accept all risk of injury or damage that may arise from your participation.

You expressly agree that if this limitation of liability is unenforceable for any reason, our total cumulative liability for all causes of action of any kind shall not exceed the amount that you have paid to us under this Agreement.

  1. Dispute Resolution and Jurisdiction

If you have any concerns arising out of this Agreement or our provision of the services, you agree to communicate with the intention of making a genuine effort to seek a win/win solution and resolve any dispute in good faith by negotiation and discussion. We make a reciprocal promise to you.

Please email us at [email protected] letting us know about the problem, and what you feel is needed to address your concerns. You can expect a response within 2 business days.

You agree that you will not engage in any public discussion about the issues in dispute, and we will show you the same respect. All parties to this Agreement agree that they will behave politely towards each other, avoid any conduct or communication which might reasonably be expected to unreasonably interfere with any other other’s business or personal interests, act in good faith and be reasonably cooperative at all stages of the dispute resolution process.

If we are unable to resolve a dispute by negotiation and discussion within 14 days, all parties agree to proceed to mediation with the assistance of an independent accredited mediator, seeking online dispute resolution or mediation by telephone if we are not located within 100kms of each other. 

The mediator is to be appointed by agreement between us or, failing agreement within 21 days of the negotiation period ending, the party initiating the dispute will seek the appointment of a dispute resolution professional by the Queensland Small Business Commissioner or similar neutral authority.

All parties agree to share all the costs of mediation equally between us.

All parties agree that none of us will commence legal action until, in the opinion of the independent mediator, the potential for negotiation and mediation have been exhausted.

This Agreement is subject to the governing law of Queensland. Regardless of where you live in the world, you irrevocably agree that if the dispute resolution processes fail, the courts of Queensland and the Commonwealth of Australia will have exclusive jurisdiction.

  1. General Provisions

    1. Legal Relationship

Our relationship under this Agreement is that of a principal and independent contractor. Nothing contained in this Agreement will constitute or deem Freedom Lifestyle Coaching or any of our employees, contractors or agents to be your partner, employee or agent, or vice versa.

  1. Whole Agreement

This Agreement comprises the whole agreement between all parties concerning the coaching and replaces any prior agreement, arrangement or understanding regarding the provision of our services.

  1. Variation

This contract may be amended by agreement between us. It is sufficient for a variation to be contained in an email exchange between us where we each express clear agreement to the proposed changes.

  1. Force Majeure

Neither party will be liable for failure nor delay in performing obligations under this Agreement, which have become practicably impossible because of circumstances beyond the reasonable control of the applicable party. 

Such circumstances include without limitation natural disasters or acts of God; acts of terrorism; labour disputes or stoppages; war; government acts or orders; epidemics, pandemics or outbreak of communicable disease; quarantines; national or regional emergencies; or any other cause, whether similar in kind to the foregoing or otherwise, beyond the party’s reasonable control. 

Written notice of a party’s failure or delay in performance due to force majeure must be given to the other party no later than 5 business days following the force majeure event commencing. This notice shall describe the force majeure event and the actions taken to minimize the impact thereof. 

  1. Severability

If any part of this contract is held to be void, illegal or unenforceable, it can be removed without affecting the validity, legality or enforceability of any other part of this contract.


Personal Power Program Information.

TERMS & CONDITIONS — FREEDOM LIFESTYLE COACHING MEMBERSHIP

Welcome to the Freedom Lifestyle Coaching Membership, offered by Rhi Thistlethwaite Coaching Pty Ltd trading as Freedom Lifestyle Coaching ("we," "us," or "our"). By enrolling in our group coaching membership, you ("Client") agree to the following Terms & Conditions:


1. Membership Commitment & Cancellation Policy
Membership requires a minimum commitment of four (4) monthly payments totaling $888 AUD. After this initial commitment, your membership will continue on a rolling basis until you choose to cancel.

To cancel, you must provide written notice via email to: [email protected]. Once the initial 4-month term is complete, cancellation can be processed at any time — no questions asked.


2. Payment Terms
Payments are processed securely via Kajabi Payments, supporting Google Pay, Apple Pay, and standard credit card options.

By enrolling, you agree to:

  • Make the agreed monthly payment on schedule for the initial four-month commitment.

  • After this period, your subscription will auto-renew unless you submit a cancellation request as outlined above.

No extensions, pauses, or refunds are offered beyond the standard 24-hour cooling-off period.


3. Program Access & Delivery
The Freedom Lifestyle Coaching Membership includes:

  • Weekly group coaching calls via Zoom.

  • Access to a private Facebook Group for ongoing community and support.

  • Additional resources delivered via Kajabi.

Replays:
Group coaching call replays will be available within the Facebook Group for up to 30 days after the original session. After this period, access will be removed.

Program Access Post-Cancellation:

  • Pay-in-full (annual) members will retain lifetime access to the programs purchased at the time of payment.

  • Month-to-month members will lose access to all programs upon cancellation.


4. Results Disclaimer
We do not offer any guarantees regarding business outcomes, income, or personal results. Your success depends on your individual commitment, decisions, and actions. While we offer proven frameworks and mentorship, results will vary.


5. Client Participation & Responsibility
Implementation is self-directed: clients are encouraged but not required to apply the strategies and teachings shared. Clients take full responsibility for their personal growth and business decisions.


6. Confidentiality, Recordings & Consent
Group coaching Q&A sessions may be recorded and shared within the membership community for educational purposes. Participation in recorded sessions implies your consent to be recorded. If you do not wish to appear on recordings, please notify the coach or refrain from speaking during recorded segments.


7. Boundaries & Scope of Practice
Freedom Lifestyle Coaching provides educational and mentoring services only. We do not offer legal, financial, or medical advice. Clients are advised to seek qualified professional advice on such matters.

Our team includes our Personal Assistant, Tammie Davidson, who operates under The Freedom Lifestyle Agency and may assist with administrative communications. Coaching services are solely delivered by Rhi Thistlethwaite.


8. Code of Conduct
We are committed to fostering a supportive and respectful community. We reserve the right to remove any member from the program or community platforms if their behavior is deemed inappropriate, harmful, or in violation of these terms.


9. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes will be handled through negotiation and mediation before seeking any other form of resolution.

By joining the Freedom Lifestyle Coaching Membership, you confirm that you’ve read, understood, and agreed to these Terms & Conditions.
